Independent trustees of the RS Funds

The RS Funds' Board of trustees oversee the RS Funds, including the investment advisory services provided by RS Investments. The RS Funds' Chief Compliance Officer reports directly to the Board of trustees. The five "disinterested" or independent trustees, who have no affiliation with RS Investments, are Judson Bergman, Kenneth R. Fitzsimmons Jr., Anne M. Goggin, Christopher C. Melvin Jr., and Gloria S. Nelund. Below are brief professional biographies for each of them, and information on how shareholders can contact them directly.

Judson Bergman has served as an independent trustee of the RS Funds since 2006. Mr. Bergman is the founder and Chief Executive Officer of Envestnet Asset Management, a provider of back-office solutions for financial advisors and the wealth management industry. He leads Envestnet's management team, guides Envestnet's strategic alliances, and manages the implementation of Envestnet's business plan.

Until 1999, Mr. Bergman was the Managing Director, Nuveen Mutual Funds, for The John Nuveen Company, a diversified investment manager. In this role he was responsible for the profitable growth of Nuveen's mutual fund business and was a member of Nuveen's Investment Management Committee. Under his guidance, Nuveen's mutual fund business experienced significant increases in sales, net flows, and profitability. Prior to this role, Mr. Bergman directed Nuveen's Corporate Development activity from 1993 to 1997 where he managed the firm's expansion into equities, initiated the development of Nuveen's separate account business, led Nuveen's 1997 acquisition of Rittenhouse Financial Services and 1996 merger with Flagship Resources, and helped form Nuveen's alliance with Institutional Capital Corp. From 1985 to 1992, he developed and managed Nuveen's merger and acquisition advisory business.

Mr. Bergman received a B.A. in English from Wheaton College, and earned his M.B.A. in Finance and Accounting from Columbia University.

Kenneth R. Fitzsimmons Jr. has served as an independent trustee of the RS Funds since 2007. He received a Bachelor of Arts degree from Brown University in international relations in 1968, and a master of business administration from the Wharton School University of Pennsylvania in 1971. Mr. Fitzsimmons was formerly a founding partner, member of the Executive Committee, Managing Director, and Head of Equities at Robertson Stephens, an international investment banking firm specializing in growth companies headquartered in San Francisco. He is a trustee of Brown University and a Director of the Brown Sports Foundation.

Mr. Fitzsimmons is also a member of the following: Board of Directors, Napa Valley Health Care Fund; Investment Board, Napa Valley Health Care Fund; Board of trustees, Sonoma Academy; and Investment Committee, Alesco Global Advisors.

Anne M. Goggin has served as an independent trustee of the RS Funds since 2006 and as chairwoman since 2007. Ms. Goggin is currently an attorney at law in private practice. Ms. Goggin's career has focused on the financial services business, with a particular emphasis on the issues relating to investment companies, investment advisers, broker-dealers and other financial products and services. During a period of over two decades, Ms. Goggin held a variety of positions at Metropolitan Life Insurance Company/New England Life Insurance Company. As General Counsel (New England Life) and as Chief Counsel - Individual Business at MetLife, she was responsible for providing legal advice and representation on all matters pertaining to MetLife’s Individual Business unit. At MetLife, she also served as Chairman of the Board of the Metropolitan Series Fund, Inc., a $25+ billion investment company, and as Chairman, President and CEO of MetLife Advisers, the investment adviser and fund administrator for the Metropolitan Series Fund.

Ms. Goggin received a B.A. in English from Regis College, and earned a J.D. from Boston College Law School.

Christopher C. Melvin Jr. has served as an independent trustee of the RS Funds since 2007. Mr. Melvin is the founder and chairman of Melvin & Company LLC and LaSalle Capital, LLC. He was also the founder and chairman of Commonwealth Financial, LLC. Mr. Melvin began his career working in the trust and clearing areas of the securities industry then on to trading both options and equities.

Mr. Melvin received a B.A. in Political Science from American University. He is also a member of the National Association of Securities Professionals and currently sits on the Board of Boston Stock Exchange.

Gloria S. Nelund has served as independent trustee of the RS Funds since 2007. Ms. Nelund has over 27 years of experience in the Asset Management business serving as Executive Management or Sales/Marketing Management at Deutsche Bank’s US Private Wealth Management Group (and Scudder Private Investment Counsel prior to an acquisition), Bank of America and Security Pacific Bank. Currently Ms. Nelund serves as President of Titus Development Group, a venture capital and consulting firm focused on helping small and mid-sized companies and entrepreneurs execute growth strategies.

Ms. Nelund attended University of Dayton and graduated from the Sales and Marketing Executive Program at University of Virginia, Colgate Darden Graduate School.
